1. Acceptance of Terms

By creating an account or using any part of the platform, you confirm that you have read and accepted these Terms. If you act on behalf of an organisation, you warrant that you have authority to bind that organisation.

2. Description of Service

SERGENTA provides an enterprise AI engineering platform including autonomous agents, intelligence tools, knowledge management, and related features. We may modify, suspend, or discontinue features at any time without prior notice.

3. Eligibility & Accounts

You must be at least 16 years old and legally capable of entering into contracts. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Accounts are granted by invitation and may require administrator approval.

4. Acceptable Use

You agree not to:

• Use the platform for unlawful, harmful, or fraudulent purposes.
• Attempt to access data or systems you are not authorised to access.
• Interfere with or disrupt the platform's security or integrity.
• Reverse engineer, decompile, or redistribute any part of the platform.
• Input content that infringes third-party intellectual property rights.
• Use automated systems to scrape data without permission.

5. Intellectual Property

The platform, including software, design, content, and trademarks, is the property of SERGENTA and its licensors, protected by intellectual property laws. You retain ownership of content you submit ('Customer Data'). You grant SERGENTA a licence to process Customer Data solely to provide the services.

6. Customer Data

You are responsible for the accuracy and lawfulness of data you submit. You warrant that processing Customer Data through the platform complies with applicable data protection laws. See our Privacy Policy for how we handle personal data.

7. Fees & Payment

Some features or services require payment. Fees are described at the time of purchase. Payments are processed via third-party providers (e.g. Stripe). Taxes, where applicable, are your responsibility unless stated otherwise.

8. Disclaimers

The platform is provided 'as is' and 'as available'. To the fullest extent permitted by law, SERGENTA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the platform will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, SERGENTA shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business interruption, arising from your use of or inability to use the platform. Our aggregate liability is limited to the fees paid in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold SERGENTA harmless from claims, damages, and expenses arising from your use of the platform, your violation of these Terms, or your infringement of third-party rights.

11. Termination

You may stop using the platform at any time. We may suspend or terminate your access if you breach these Terms or for operational reasons. Upon termination, provisions that by their nature should survive will remain in effect.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Switzerland, excluding conflict-of-law rules. The exclusive place of jurisdiction for all disputes is the registered seat of SERGENTA in Switzerland, subject to mandatory consumer rights.

13. Changes to Terms

We may update these Terms from time to time. We will indicate the last-updated date above. Continued use after changes constitutes acceptance of the revised Terms.
